Voxware Completes Transition to Private Company

Privatization Enables Investment for Growth and Reduces Cost

Hamilton, NJ – December 7, 2010 – Voxware, a leading supplier of software for voice-driven warehousing operations, today announced that it has completed the process of becoming a private company.

The move follows a decision by Cross Atlantic Partners, one of the company’s major shareholders, to make a further investment in Voxware in support of its strategic plan, in conjunction with a going-private transaction.

“This is a watershed event for us,” said Scott Yetter, Voxware CEO. “The burden and cost of public company compliance keeps rising every year. As a private company, we now have greater operational flexibility and can focus more on long-term growth without undue emphasis on short-term earnings and fluctuations in the price of our stock. Building new software products is the best use of company resources that will maximize benefit to our customers, employees, and shareholders.”

“Over the past five years, Voxware has introduced the most significant innovations to the market for voice-directed warehousing. Our Voxware 3 product has transformed the company from a custom developer of proprietary solutions to a software products company with an open and packaged offering. We have led the way to lower overall cost and faster implementations of voice solutions for customers, and we’ve been very pleased by marketplace reaction,” Yetter continued. “As a private company, we can now devote even more resources to accelerated evolution of our product line.”

Survey: Traceability a Priority for Food Service Execs, but Cost-Cutting Still Tops Corporate Agendas

More than Two-thirds Polled likely to Adopt Traceability Standards within a Year

Hamilton, NJ – November 30, 2010 – While establishing traceability strategies has become a priority for food service executives, cost cutting initiatives remain at the top of the priority list for 2011, according to a survey released today by Voxware, a leading supplier of software for voice-driven warehousing operations. More than three quarters of those polled (76%) said that traceability is a priority for their companies, yet only ten percent said it was their top priority, according to the survey conducted at the International Food Distributors Association’s annual conference. More than half (57%) of the respondents said that cutting costs is their top priority over the next 12 months.

The survey points to the growing emphasis on adopting traceability standards across the food service industry. It also indicates a potential conflict in priorities as organizations grapple with the expense of implementing traceability while simultaneously focusing on cost cutting in the broader operation.

Traceability has become more important to food service companies’ customers, as nearly a third (31%) of those polled said their customers ask either frequently or urgently about plans on compliance. An additional 52 percent of respondents said their customers are asking about traceability occasionally. Another indication of the growing support for traceability is that, despite the clear focus on cost cutting, the overwhelming majority of respondents (72%) said they are either somewhat likely or very likely to adopt some traceability standards in the near future.

“Traceability is becoming an increasingly important issue for food service companies and their customers and this survey confirms decisions we made in regard to traceability support in our software,” said Scott Yetter, Voxware CEO. “We see a real opportunity for organizations to proactively implement standards, gain good will from their customers and in some cases gain competitive advantage. Our goal is to provide them with the technology and the expertise to implement solutions as seamlessly and cost-effectively as possible.”

Most respondents (93%) agree that outbound traceability data should be captured at the point of the pick, although there is no consensus on the best technique for capturing the data. Over half (55%) said that utilizing voice, in some cases combined with scanning, is the best technique for outbound data capture. The survey polled food service managers and executives. Voxware designed the survey to provide its food service customers and prospects with insights around the highly discussed traceability issue.

About Voxware
Voxware, Inc.
HAMILTON, NJ – August 3, 2010 – Voxware, Inc. (Nasdaq: VOXW), a leading supplier of software for voice picking and other warehouse operations, announced that version 4.0 of its Voxware 3 product is now available.
Version 4.0 of Voxware 3 includes a significant expansion of the Enterprise Voice Manager, which is part of the Voxware Adaptive Voice Framework. The enhancements enable customers to deploy and manage voice picking applications from a single instance of software in a central data center, across many warehouses, even when warehouse layouts vary and voice workflows differ in each facility.
“Software architecture should not dictate a centralized or decentralized deployment approach,” said Scott Yetter, Voxware CEO. “We developed the Enterprise Voice Manager so our customers can implement voice picking software that reflects current IT standards and significantly reduces the total cost of ownership for deploying voice solutions in the warehouse”.
“We have many large customers already using the centralized deployment approach to reduce costs while simplifying support. One customer, Performance Food Group, operates 18 warehouses across North America and over 600 concurrent pickers on one instance of Voxware 3 located in their Richmond, VA data center.”
Even if customers decide to move back and forth between centralized and decentralized management of their voice solution, they can keep the same Voxware systems in place and such changes are transparent to the users.
In addition to the Enterprise Voice Manager, version 4.0 also includes many functional enhancements to order picking, replenishment, and putaway applications. Also, support for additional devices from Intermec, LXE, and Motorola are delivered, providing customers with the widest range of mobile devices that support voice solutions in the warehouse.

Belron Group Deploys Voxware 3 Software

Implementation at Laddaw® Distribution Centre in the UK Boosts
Order Selection Efficiency

Reading, England – June 1, 2010 – Voxware, Inc. (Nasdaq: VOXW), a leading supplier of software for voice-driven warehousing operations, announced that Belron, the world’s leading vehicle glass repair company, has deployed its Voxware 3 software product at Laddaw®, one of the Belron® Group’s largest European distribution centres.
“We selected Voxware because they offer a packaged software product with a toolset for configuring voice solutions,” said John Cooper, Head of Logistics at Laddaw® “Our analysis pointed toward a significant productivity improvement by moving to a voice-driven, hands-free operation, but we also wanted an open and configurable software product to give us flexibility for the future to enable a global roll-out across our distribution centres.”
The Voxware 3 solution is integrated with the Belron® Oracle warehouse management system, and converts order data into voice-enabled assignments using business rules that are specific to the Laddaw operation. Because the products are automotive glass and glazing products, great care must be taken to pick items in the correct order to facilitate easy packing. By working hands-free, order pickers move faster, increasing efficiency and there has also been a reduction in product handling damage.
“Belron® had a well-conceived plan and knew what they wanted,” said Scott Yetter, Voxware CEO. “We are very pleased that Voxware 3 has proven itself at Laddaw®, and are working with Belron® to take voice to additional facilities operated by the Belron® Group.”
About Belron
Belron® is the world’s largest dedicated vehicle glass repair and replacement company. Belron® is home to some 24,000 employees, all working together to bring the Belron® story to life.
Revenue Stable, Cost Control Plan Continues to Have Effect

Hamilton, NJ – May 17, 2010 – Voxware, Inc. (Nasdaq: VOXW), a leading supplier of software for voice-driven warehousing operations, reported results for the three and nine months ended March 31, 2010. Overall revenues decreased 17% to $3.354 million for the quarter ended March 31, 2010 from $4.021 million during the comparable prior year period. Revenues decreased 12% to $9.465 million for the nine months ended March 31, 2010 from $10.724 million during the comparable prior year period. Net loss on a Generally Accepted Accounting Principles (“GAAP”) basis was $591,000 for the quarter ended March 31, 2010, compared to $560,000 for the comparable prior year period. Net loss on a GAAP basis was $2.334 million for the nine months ended March 31, 2010, compared to a net loss of $4.223 million for the nine months ended March 31, 2009, an improvement of $1.889 million. Voxware's financial statements for the quarter ended March 31, 2010, can be found in its Form 10-Q filed with the Securities and Exchange Commission on May 17, 2010.
“During our third fiscal quarter, we saw revenue remain steady compared to our second quarter of fiscal 2010,” said Scott Yetter, Voxware CEO. “As we have previously stated, we have taken steps to ensure that expenses excluding non-cash stock-based compensation will be more closely aligned with expected revenue during the remainder of fiscal 2010. Our third quarter results are in line with where we expected to be at this point of our fiscal year. Furthermore, our cash position remains strong at $3.4 million as we move into the remainder of the year.”
“Large enterprises continue to seriously evaluate Voxware’s software, and we are confident that cost containment projects such as implementing voice in distribution centers will be among the first to be funded as the economic climate improves.”
Net loss on a non-GAAP basis was $229,000 and $1.249 million, respectively, for the three and nine months ended March 31, 2010. The difference between the GAAP and non-GAAP net loss is attributable to non-cash stock-based compensation, which was $362,000 and $1.085 million, respectively for the three and nine months ended March 31, 2010. A reconciliation of GAAP measures with non-GAAP measures can be found at the end of this release.

Regional Food Bank of Oklahoma and Harvesters in Kansas City Implement Voxware 3 for Voice Picking
Hamilton, NJ – November 23, 2009 – Voxware, Inc. (Nasdaq: VOXW), a leading supplier of software for voice-driven warehousing operations, announced that Regional Food Bank of Oklahoma and Harvesters Community Food Network have implemented its Voxware 3 software product. Both non-profits are members of Feeding America, the nation’s leading hunger relief charity.

“We implemented Voxware to gain additional cost benefits,” said Bill McKnight, Director of Operations for the Regional Food Bank of Oklahoma. “Unlike a for-profit company with a product to sell, we are in the business of giving food to people who need it – all of our operating costs are donated and have to be raised each year – so we have very slim margins.”

“We’ve seen a 10% increase in productivity and think we can do even better,” said Norm Bowers, Chief Operating Officer of Harvesters. “We’re very happy with the system and believe it will help us to continue our tradition of keeping our costs as low as possible.”

Both McKnight and Bowers serve on the Operations and Technology Consortium, a group that identifies and recommends promising technologies for the Feeding America network. The Voxware 3 solution was deployed at the distribution facilities of both organizations in Oklahoma City and Kansas City. “We chose Voxware because we wanted a versatile software product with an open design and a roadmap for the future,” said McKnight.

“Hunger in the United States is a bigger problem than most people realize,” said Scott Yetter, Voxware CEO. “These two food banks serve over 120,000 people every week, and we’re proud that Voxware’s software is lowering cost so that more funds are available to give to people in need.”

Worldwide Economic Conditions Contributed to Challenging Quarter
HAMILTON, NJ – November 13,...

Worldwide Economic Conditions Contributed to Challenging Quarter

HAMILTON, NJ – November 13, 2009 – Voxware, Inc. (Nasdaq: VOXW), a leading supplier of software for voice-driven warehousing operations, reported results for the quarter ended September 30, 2009. Overall revenues decreased 16% to $2.747 million for the quarter ended September 30, 2009 from $3.254 million during the comparable prior year period. Net loss on a Generally Accepted Accounting Principles (“GAAP”) basis was $1.215 million for the quarter ended September 30, 2009, compared to a net loss of $1.970 million for the comparable prior year period. Voxware's financial statements for the quarter ended September 30, 2009, can be found in its Form 10-Q filed with the Securities and Exchange Commission on November 13, 2009.

“We previously stated that we expected challenging economic conditions to continue into Fiscal 2010, and that has been the case,” said Scott Yetter, Voxware CEO. “In addition to the slow summer months, the overall economy continues to influence spending decisions by current and prospective customers.”

“Our cash position remains strong at $3.8 million, and our debt is low. We have taken further steps to ensure that expenses will be more closely aligned with expected revenue during the second half of fiscal 2010.”

Net loss on a non-GAAP basis was $868,000 for the quarter ended September 30, 2009. The difference between the GAAP and non-GAAP net loss is attributable to non-cash stock-based compensation, which was $347,000 for the quarter ended September 30, 2009. A reconciliation of GAAP measures with non-GAAP measures can be found at the end of this release.

About Voxware

Voxware, Inc.
About Non-GAAP Financial Measures

To supplement the consolidated financial statements presented in accordance with GAAP, this press release includes the following measure defined by the Securities and Exchange Commission as a non-GAAP financial measure: non-GAAP net loss. This non-GAAP measure is not based on any comprehensive set of accounting rules or principles and should not be considered a substitute for, or superior to, financial measures calculated in accordance with GAAP, and may be different from non-GAAP measures used by other companies. In addition, this non-GAAP measure, the financial statements prepared in accordance with GAAP and reconciliations of Voxware’s GAAP financial statements to such non-GAAP measure should be carefully evaluated.

Management believes that the large amount of stock-based compensation charges incurred during the quarters ended September 30, 2009 and 2008 makes non-GAAP net loss an important metric for investors to value the Company. Non-cash stock-based compensation charges for the quarter ended September 30, 2009 were $347,000 compared to $309,000 in the quarter ended September 30, 2008, an increase of 12%. Accordingly, we believe that non-GAAP net loss, excluding non-cash stock-based compensation costs, are meaningful measures for investors to evaluate our financial performance. Moreover, because of varying available valuation methodologies and the variety of award types that companies can use under current accounting literature, we believe that providing non-GAAP financial measures that exclude non-cash stock-based compensation allows investors to make additional comparisons between our operating results to those of other companies. The presentation of non-GAAP net loss, when read in conjunction with our reported GAAP results, can provide useful supplemental information to our management and investors regarding financial and business trends relating to our financial condition and results of operations.

Stock-based compensation has been and will continue to be for the foreseeable future a significant recurring expense in our business. In addition, other companies may calculate non-GAAP financial measures differently than us, thereby limiting the usefulness of these non-GAAP financial measures as a comparative tool. We compensate for this limitation by providing specific information regarding the GAAP amounts excluded from the non-GAAP net profit and evaluating such non-GAAP financial measures with financial measure calculated in accordance with GAAP.

SAP Integration Results in Fast and Effective Deployment
Hamilton, NJ – November 16,...

SAP Integration Results in Fast and Effective Deployment
Hamilton, NJ – November 16, 2009 – Voxware, Inc. (Nasdaq: VOXW), a leading supplier of software for voice-driven warehousing operations, announced that Tawa Supermarket, Inc., has implemented its Voxware 3 software product.

“Continuous innovation is one of Tawa’s core business principles,” said Jonson Chen, Vice President of Real Estate. “We are active in implementing new technologies when they can make a positive, practical difference in our business. A second guiding principle is our commitment to invest in human resources, and to help every employee reach his or her full potential. Voxware 3 is a great example of how we put both of those principles into practice.”

The Voxware 3 solution was configured and deployed in four weeks. Originally used with Tawa’s legacy WMS, the Voxware 3 application was ported after just four months to SAP. Working in tandem with Tawa’s IT organization, Voxware accomplished the migration to SAP in less than three weeks. Workers continued to use the same processes and voice dialogs after the cutover to SAP. Voxware 3 works in real time with SAP, ensuring that store orders are fulfilled accurately.

“We were able to start using Voxware’s voice software right away, and then move to SAP at a later scheduled date,” said Chen. “We lost no operational time, workers did not need to be retrained, and we kept building our effectiveness in using the Voxware system.”

“Voxware is pleased with our SAP integration, but we are even more pleased in the non-disruptive way Tawa was able to put it into production,” said Scott Yetter, Voxware CEO. “Most voice solutions are so heavily connected to the WMS that reprogramming is nearly always needed when moving from one system or version to the next. We designed Voxware 3 to seamlessly integrate with SAP and other WMS packages, and Tawa’s experience is living proof that our approach works.”

VoxConnect is the integration software layer within the Voxware 3 product. It shields the voice applications from becoming inflexibly linked to the WMS. This gives Voxware customers greater operational agility, since many changes to voice business processes can be made without impacting the underlying WMS system.

Progistix Handles Distribution for Bell, Canada’s Largest Telephone and Communications Company.
Hamilton, NJ – October 6, 2009 – Voxware, Inc. (Nasdaq: VOXW), a leading supplier of software for voice-driven warehousing operations, announced that Progistix, a member of SCI Group Inc. and one of Canada’s largest third party solutions providers has implemented the Voxware 3 voice directed picking solution at their customer site, Bell, Canada’s largest telephone and communications company. Voxware 3 is seamlessly integrated with SAP, the warehouse management system in use at the site.
At Progistix, pickers select a variety of small electronic parts, small coils of wire, ladders and fuses, in a batched pick. SAP WM 6.0 clusters these orders together based on order profiles and the warehouse layout. The voice system then directs the picker to select items for the orders and where to place them on rolling carts to correctly fulfill the orders. Voxware 3 uses web services to facilitate this real-time integration with SAP. Exceptions, such as shorts, skips or over picks are handled by Voxware 3. The voice system can also validate handling units with SAP in real-time and send notifications back to the WMS once assignments are complete.
“The implementation at Progistix is a great example of how Voxware can integrate directly with leading WMS vendors such as SAP,” said Scott Yetter, CEO of Voxware. We are certain that the market driven product which we have created will save our customers time and money.”
Since their voice implementation, Progistix has seen an improvement in both productivity and accuracy levels. Current order accuracy rates are at 99.9 percent, which helps the field technicians to be more productive and, in turn, lowers supply chain costs and improves customer service for Bell.
“We’re a company that focuses on developing innovative solutions for our clients that improve performance and eliminate costs. That sets us apart from our competitors,” explains Shari Pedersen, Director of Operations. “With voice, we see efficiency gains over people selecting with RF handheld units. It allows our workers to be more organized overall. Voice creates momentum for the pickers to continually keep them on track and productive,” adds Pedersen. “Employee feedback has also been very positive. Voice users like having their hands free throughout the entire picking process.”
