			<content:encoded><![CDATA[<b>HAMILTON, NJ – February 12, 2010</b> – Voxware, Inc. (Nasdaq: VOXW), a leading supplier of software for voice-driven warehousing operations, reported results for the three and six months ended December 31, 2009.&nbsp; Overall revenues decreased 2% to $3.364 million for the quarter ended December 31, 2009 from $3.449 million during the comparable prior year period. Revenues decreased 9% to $6.111 million for the six months ended December 31, 2009 from $6.703 million during the comparable prior year period. Net loss on a Generally Accepted Accounting Principles (“GAAP”) basis was $528,000 for the quarter ended December 31, 2009, compared to $1.693 million for the comparable prior year period.&nbsp; Net loss on a GAAP basis was $1.743 million for the six months ended December 31, 2009, compared to a net loss of $3.663 million for the six months ended December 31, 2008.&nbsp; Voxware's financial statements for the quarter ended December 31, 2009, can be found in its Form 10-Q filed with the Securities and Exchange Commission on February 12, 2010.<br /><br />“During our second fiscal quarter, we saw a revenue increase over our first quarter of 22% and only a small 2% decrease from the prior period,” said Scott Yetter, Voxware CEO.&nbsp; “This reporting period concludes the first half of fiscal 2010.&nbsp; As we have previously stated, we took steps to more closely align expenses with expected revenue, and the improvement in our bottom line reflects the initial impact of those steps. Our cash position remains strong at $2.8 million as we move into the second half of the year.”<br /><br />“Large enterprises continue to seriously evaluate Voxware’s software, and we believe that cost containment projects such as implementing voice in distribution centers will be among the first to be funded as the economic climate improves.” &nbsp;<br /><br />Net loss on a non-GAAP basis was $152,000 and $1.020 million, respectively, for the three and six months ended December 31, 2009.&nbsp; The difference between the GAAP and non-GAAP net loss is attributable to non-cash stock-based compensation, which was $376,000 and $723,000, respectively for the three and six months ended December 31, 2009.&nbsp; A reconciliation of GAAP measures with non-GAAP measures can be found at the end of this release.

(Nasdaq: VOXW), a leading supplier of software for voice-driven warehousing operations, announced that Carter’s, the world’s number one children’s brand, has selected and deployed its Voxware 3 software.&nbsp; Originally deployed with the Motorola WT4090, Carter’s also operates the Voxware voice solution using the new Motorola WT4090 Voice Only Wearable.
“We chose Voxware because they are a software company with a flexible product.&nbsp; We were able to deploy the Motorola VOW without making any changes to either our Voxware or Manhattan Associates applications, and without retraining any employees,” said Peter Kok, Director of Supply Chain Process Development at Carter’s.&nbsp; “The new VOW works flawlessly and delivers excellent results for Carter’s. It’s a great addition to our fulfillment toolset.”

Voxware was selected after a competitive evaluation process.&nbsp; The solution operates on Intermec CN3 voice-enabled wearable computers and is powered by Voxware 3, the configurable voice software product serving the warehousing market.
To date the Voxware 3 software product has been deployed in 3 of the 11 AAFES distribution centers worldwide.&nbsp; Future Voxware 3 deployments will progress over the period of the contract.

(Nasdaq: VOXW), a leading supplier of software for voice-driven warehousing operations, announced that Regional Food Bank of Oklahoma and Harvesters Community Food Network have implemented its Voxware 3 software product. (Nasdaq: VOXW), a leading supplier of software for voice-driven warehousing operations, reported results for the quarter ended September 30, 2009.&nbsp; Overall revenues decreased 16% to $2.747 million for the quarter ended September 30, 2009 from $3.254 million during the comparable prior year period. (Nasdaq: VOXW), a leading supplier of software for voice-driven warehousing operations, announced that Progistix, a member of SCI Group Inc. and one of Canada’s largest third party solutions providers has implemented the Voxware 3 voice directed picking solution at their customer site, Bell, Canada’s largest telephone and communications company. Voxware 3 is seamlessly integrated with SAP, the warehouse management system in use at the site. 
At Progistix, pickers select a variety of small electronic parts, small coils of wire, ladders and fuses, in a batched pick. SAP WM 6.0 clusters these orders together based on order profiles and the warehouse layout. The voice system then directs the picker to select items for the orders and where to place them on rolling carts to correctly fulfill the orders. Voxware 3 uses web services to facilitate this real-time integration with SAP. Exceptions, such as shorts, skips or over picks are handled by Voxware 3. The voice system can also validate handling units with SAP in real-time and send notifications back to the WMS once assignments are complete.

Total revenues decreased 39% to $3.803 million for the quarter ended June 30, 2009 from $6.207 million during the comparable prior year period. Revenues decreased 38% to $14.527 million for the year ended June 30, 2009 from $23.384 million during the comparable prior year period. Net loss on a Generally Accepted Accounting Principles (“GAAP”) basis was $603,000 for the quarter ended June 30, 2009, compared to a net profit of $66,000 for the comparable prior year period. Net loss on a GAAP basis was $4.826 million for the year ended June 30, 2009, compared to a net profit of $585,000 for the year ended June 30, 2008. (Nasdaq: VOXW), a leading supplier of software for voice-driven warehousing operations, announced it has executed transaction documents for a private placement of 1,428,571 shares of its common stock, $0.001 par value (the “Common Stock”), at $1.75 per share (the “Private Placement”).&nbsp;&nbsp; The Company anticipates closing on or about June 30, 2009.&nbsp; Aggregate gross proceeds to the Company will be approximately $2.5 million before expenses.<br />&nbsp; <br />In connection with the Private Placement, the Company also issued warrants to purchase 142,857 shares of the Company’s Common Stock which will not be exercisable until the six (6) month anniversary of the date of issuance and shall expire three (3) years from the date of issuance, at an exercise price of $2.50 per share.

(NASDAQ: VOXW), a leading supplier of software for voice-driven warehousing operations, announced that Somerfield Stores, the UK high street supermarket company, has deployed a major expansion of voice picking technology based upon the company’s Voxware 3 software product.
“We designed a way to significantly improve worker productivity using Voxware 3, and we are achieving what we set out to do,” said Andrew Hubbard, Head of Distribution Support and Service at Somerfield. “We’ve been Voxware customers for a long time, and took advantage of this project to move to their latest software platform, Voxware 3, which is now integrated with our Infor WMS and gives us the benefits of a packaged software product, openness, and flexibility for the future.”
The new voice solution was first implemented in the fresh products area as a flow-through (pick-byline) operation, initially at the Somerfield site in Pitreavie, Scotland. Now approaching full deployment, the voice solution will operate in four large distribution centres, optimizing the work of 400 operatives.

<p align="left"><font face="Arial,sans-serif" size="2">Mr. Giles Knopp is a veteran of the supply chain software industry; before joining Voxware he spent 7 years with Dallas Systems then EXE Technologies, working with many companies and implementing WMS best practices- throughout Europe and the Middle East.&nbsp; He then spent 3 years as General Manager of Software Professional Services for Swisslog (UK) Ltd where his responsibility focused on management of all projects and software development for Swisslog’s implementations.&nbsp; He has been with Voxware since 2004 when he established the UK business, most recently as Director of Business Development in EMEA.</font></p>
